A Ponzi scheme, in the SEC’s own advisory wording, is one where “money from new investors are used in paying ‘fake profits’ to prior investors.” This page sets that wording beside the Securities Regulation Code, RA 7394 and a DTI order on pyramid sales, then lists the signs those texts point to. If a payment has already gone out, the complaint letter steps show how a written complaint is built.
How a Ponzi scheme pays: the SEC’s description
The SEC’s advisory of 3 October 2023 says the pattern “is designed mainly to favor its top recruiters and prior risk takers and is detrimental to subsequent members in case of scarcity of new investors.” It adds that selling investment contracts through such a scheme “is NOT a registrable security”, so the Commission will not issue a License to Sell Securities for it.
A round-number example shows why it depends on newcomers:
- 100 new people each put in ₱1,000, so ₱100,000 comes in.
- The operator pays 20 earlier investors ₱1,500 each, their ₱1,000 plus a “profit” of ₱500.
- That is ₱30,000 out, paid from the new ₱100,000 and from no sale of anything.
- Every later payout needs another round of joiners.
Pyramid scheme wording in RA 7394 and the DTI order
The two terms overlap but are defined by different texts:
| Ponzi scheme | Pyramid scheme | |
|---|---|---|
| Wording from | SEC advisories of 2020 and 2023 | RA 7394 Article 4(k); DTI DAO No. 08 of 2002, Section 2 |
| Where the money comes from | New investors’ money pays “fake profits” to prior investors | Profits derived “primarily from the recruitment of other persons into the plan rather than from the sale of consumer products” |
| The rule it meets | Securities Regulation Code, Section 8.1 | RA 7394 Article 53: such schemes “shall not be employed in the sale of consumer products” |
DAO No. 08 of 2002 adds that a limit on the number of participants “does not change the nature of the plan.”
What the Securities Regulation Code says about an investment scam
| Section | What the text says |
|---|---|
| 3.1(b) | “Securities” include investment contracts |
| 8.1 | Securities shall not be sold or offered for sale within the Philippines “without a registration statement duly filed with and approved by the Commission” |
| 28.1 | No person may act as a broker, dealer, salesman or associated person unless registered with the Commission |
| 73 | A fine of ₱50,000 to ₱5,000,000, or imprisonment of 7 to 21 years, or both |
The 2023 advisory says uplines, recruiters, influencers, endorsers and enablers “may be held criminally liable” under Section 28 of the SRC and Section 11 of the Financial Products and Services Consumer Protection Act. It also gives an investment contract a plain test: money placed in a common enterprise with a reasonable expectation of profits from the efforts of others.
Red flags to watch for in an investment scam
Each sign below comes from a saved text, and the text is named:
- Profits paid from newcomers’ money, the pattern the SEC calls a Ponzi scheme.
- Recruiters in the chain: the 2023 advisory lists “uplines, recruiters, influencers, endorsers and enablers” among those who may be held liable.
- An entry fee or a fixed number of recruits to sponsor, in DAO No. 08’s Section 2.2(b).
- Income set by your slot or the order in which you joined, also in Section 2.2(b).
- A registration paper that is not real: the 2023 advisory calls one shown by a named scheme “FAKE/BOGUS”.
- A name borrowed from a famous firm: the same advisory says that scheme “appears to impersonate” one.
Invitations to such plans often arrive as a text from a faked sender, and how spoofing fakes a sender name is covered on its own page.
Where the SEC publishes and takes reports
The SEC publishes its registry and its advisories on sec.gov.ph, and this page states no search steps beyond that. Two advisories print the same reporting line:
| Advisory | Dated | Reporting line it prints |
|---|---|---|
| Enforcement and Investor Protection Department | 14 July 2020, Pasay City | epd@sec.gov.ph |
| Enforcement and Investor Protection Department | 3 October 2023, Makati City | epd@sec.gov.ph |
A gaming concern is a different office’s: the addresses PAGCOR prints are listed under PAGCOR office contacts.

How is a pyramid scheme different from a Ponzi scheme?
RA 7394 Article 4(k) and DTI DAO No. 08 of 2002 describe a pyramid scheme by recruitment: profits come primarily from recruiting others into the plan rather than from selling products. The SEC's Ponzi wording centres on paying earlier investors from newer investors' money.
